As reported in the Food Trade News last week, a U.S. Bankruptcy judge declared C&S Wholesale Grocers the winner of the auction to acquire the assets of Associated Wholesalers, Inc. (AWI), the PA-based co-operative. The bid was valued at $288.1 million, about $3.5 million more than Supervalu's runner-up bid.
The acquisition is expected to close on November 11.

C&S Wholesale bids to acquire AWI
C&S Wholesale Grocers has entered into an agreement with Associated Wholesalers Inc. (AWI) that would make C&S the "stalking horse" bidder in an upcoming bankruptcy auction. AWI filed for Chapter 11 bankruptcy last week. C&S's offer is subject to offers by other interested parties.
C&S is the largest wholesale grocery supply company in the U.S. The company supplies independent supermarkets, chain stores and institutions with over 95,000 different products.
AWI is a cooperative food distributor that services convenience stores and supermarkets, and offers its clients insurance programs, computer systems, advertising services, store development assistance, equipment, and a number of other business services.
AWI had announced earlier this year that it would try to sell its White Rose subsidiary, but later said it was in negotiations to sell the entire company.
"The addition of AWI and White Rose would expand C&S's footprint and enhance our significant capabilities in servicing independent grocers," said C&S Chairman and CEO Rick Cohen.

Bozzuto's deal with Baltimore supermarket may lead to more Mid-Atlantic distribution
Bozzuto's officials believe their new relationship with Baltimore-based retailer Mars Super Markets can help the distributor expand in the Mid-Atlantic states, according to a story last week in Supermarket News. Mars operates 17 stores in the Baltimore area, and the new deal may allow Bozzuto's to compete more directly with the Associated Wholesalers Inc. (AWI) cooperative.
According to Burt P. Flickinger III, managing director of Strategic Resource Group, "The Mars business makes Bozzuto's a leading candidate for privately-held and family-run chains. That will be a challenge for White Rose and AWI."
